The Frederick's of Hollywood Sweepstakes begins at 12:01 a.m. Eastern Daylight Time on September 27, 2004 and ends at 11:59 p.m. Eastern Daylight Time on October 12, 2004, 2003. Sweepstakes sponsored by Frederick's of Hollywood, 6608 Hollywood Blvd., Hollywood, CA 90028 ("Sponsor"). Sweepstakes and the terms and conditions below shall be governed by the laws of the United States.

Eligibility:
Sweepstakes is offered electronically via the Internet and only within the fifty United States (excluding Rhode Island) and the District of Columbia, except where otherwise prohibited by law. Residents of Rhode Island are not eligible. Sweepstakes is open to all natural persons who are legal residents of the United States and are 18 years of age or older at the time of entry. Employees, officers, and directors of Sponsor, its parent companies, affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, and legal advisors, their immediate family members and persons living in their same household, are not eligible to participate in the Sweepstakes. All federal, state, and local laws and regulations apply.

How to Enter:
Log on to fredericks.com at http://www.fredericks.com, click on “Win a Trip to Hollywood and Celebrate with Celebrities” to enter the Sweepstakes promotion, a pop-up window will appear, and follow the registration instructions. These instructions require you to submit your name and a valid e-mail address. Electronic entries must be received by the fredericks.com server by 11:59 p.m. Eastern Daylight Time, October 12, 2004, to be eligible. One entry per valid e-mail address. Multiple entries will result in disqualification of those entries in excess of the limit.

No responsibility is assumed for garbled, incomplete, late, lost or misdirected entries. In the event of a dispute as to who submitted an electronic entry to the sweepstakes, the authorized holder of the e-mail address shall be considered the valid entrant. "Authorized holder" is the natural person who is registered with the Internet service provider (or similar provider) for the e-mail address.

Prizes:
One (1) Grand Prize: A trip for two to Hollywood (airfare, hotel, and $500 gift certificate to Frederick’s of Hollywood and exclusive invitation to the Celebrity lingerie art auction and fashion show). The Gift Certificates are for merchandise only and may not be redeemed for shipping and handling charges or any applicable sales tax, which are the sole responsibility of the winner and may be required.

Approximate retail value of Grand Prize: $ 3,500

Prizes are not transferable. No substitution of Prizes for cash or other goods and services is permitted, except Sponsor reserves the right, in its sole discretion, to provide a substitute Prize of approximately equal value.

Selection of Winner:
Winner will be determined by a random drawing from all eligible entries, to be held on or about October 14, 2004. All decisions are final and binding. The number of eligible entries received will determine odds of winning. Limit one prize per person. Anticipated odds of winning based on the number of entries received. All entries have the same odds of winning. The winner will be notified by e-mail between October 13, 2004 and October 14, 2004. The winner will have 3 days from notification to accept the prize by e-mail, or he/she will forfeit the prize. In the event the winner does not accept the prize by e-mail within 3 days of notification, or prize notification is returned as undeliverable, an alternate winner will be selected. Sponsor is not responsible for and shall not be liable for late, lost, misdirected or unsuccessful efforts to notify winner.

Winner will be required to sign and return a release of liability, affidavit or declaration of eligibility, and, where lawful, publicity consent agreement, all within 3 days of notification. By accepting and/or using prize, winner agrees to the use of his/her name, voice, or likeness for the purpose of advertising, trade, or promotion without further compensation, unless prohibited by law, and without additional compensation. If a selected winner is ineligible, or fails to timely return the completed and executed affidavit or declaration and releases as required, prize will be forfeited and an alternate winner will be selected.

Conditions:
By entering, participants agree to be bound by these Official Rules and the decisions of fredericks.com, which shall be final. Sponsor, agents and representatives of Sponsors, their parent companies, affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, and legal advisors, are not responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected, incomplete, or unintelligible entries; (ii) telephone, electronic, hardware or software program, network, Internet, or computer malfunctions, failures, or difficulties of any kind; (iii) failed, incomplete, garbled, or delayed computer transmissions; (iv) any condition caused by events beyond the control of the Sponsor that may cause the Sweepstakes to be disrupted or corrupted; (v) any injuries, losses, or damages of any kind arising in connection with or as a result of the prize, or acceptance, possession, or use of the prize, or from participation in the Sweepstakes; or (vi) any printing or typographical errors in any materials associated with the Sweepstakes.

If malfunctions, error, disruption or damage occurs, and impairs the administration, security, fairness, integrity or proper play of the Sweepstakes, Sponsor may, in its sole discretion, suspend or terminate the Sweepstakes and will post notice of the suspension or termination on the Sweepstakes Web site. Persons found tampering with or abusing any aspect of the Sweepstakes, or whom Sponsor believes to be causing malfunctions, error, disruption or damages will be disqualified. Any attempt by an entrant to deliberately damage or alter any Web site, hosting server, html pages, forms, scripts, hardware, software or database entries associated with the Sweepstakes, or otherwise undermine the legitimate operations of the Sweepstakes is in violation of criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek damages from any such entrant or trespasser to the fullest extent permitted by law and to void entries at issue from the Sweepstakes.

Any federal, state and local taxes and fees applicable in connection with any winnings are the sole responsibility of participants.

By participating in the Sweepstakes, participants agree to release and hold Sponsor and the employees, officers, directors, shareholders, agents, representatives of Sponsor, their parent companies, affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, and legal advisors, harmless from any and all losses, damages, rights, claims and actions of any kind in connection with the Sweepstakes or resulting from acceptance, possession, or use of any prize, including without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy.

The winner will also be posted on the Fredericks.com Web site, http://www.fredericks.com until approximately December 15, 2004.
